1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the website www.agileortho.shop, any mobile or alternative versions, and your purchase of products (the “Products”) or use of services provided by Agile Orthopedics Pvt Ltd, a company incorporated under the laws of India and having its registered office at Plot No 26, H.No 8-6-11/p20, First Floor, Urmila Devi Complex, Engineers Colony, Hayathnagar, Hyderabad, Telangana 500074, India (“we”, “us”, “our”, or “Agile Ortho”). By accessing the Site, placing an order, or otherwise using our services, you agree to be bound by these Terms. If you do not agree to all of these Terms, you must not use the Site or purchase Products.

2. Definitions

• “Products” means the medical/orthopaedic implants, consumables, sutures and related items offered for sale on the Site.
• “Order” means your request to purchase Products through the Site.
• “Customer”, “you”, “your” means the individual or entity placing an Order or otherwise using the Site.
• “Services” means the Site, order processing, delivery, support and other services provided by us in connection with the sale of Products.

3. Eligibility & Account

You represent and warrant that you are legally capable of entering into binding contracts under applicable law, and if you are ordering on behalf of an entity, that you have the authority to bind that entity. We may require registration for ordering purposes, and you agree to provide accurate, current and complete information about you or your entity when requested. You are responsible for safeguarding your account credentials and all activity under your account.

4. Order Acceptance & Contract Formation

Your Order constitutes an offer to purchase the Products. We will send you an email confirming acceptance of your Order (the “Order Confirmation”) once your Order has been accepted. At that point a contract is formed between you and us. We reserve the right to refuse or cancel any Order, for example due to product unavailability, error in pricing or shipping restrictions.

5. Pricing, Payment & Taxes

• Prices of Products are displayed on the Site and are inclusive/exclusive of GST as specified. All applicable taxes, duties or fees will be indicated at checkout.
• We accept payment by the methods displayed on the Site. You agree to make payment in full (including taxes, duties and shipping charges) before dispatch unless otherwise agreed.
• Any import duties, local taxes or other charges by governmental authorities after dispatch are your responsibility unless we state otherwise.

6. Delivery & Risk Transfer

We will arrange delivery of your Products to the delivery address you provide. Risk in the Products passes to you when the Products are delivered to, and signed for, by you or your agent. We are not liable for delays or losses caused by courier, customs, force-majeure or other third-party actions beyond our control.

7. Returns, Refunds & Exchanges

Your rights regarding returns, refunds or exchanges are governed by our Return, Refund & Exchange Policy. You must read that policy carefully — it is incorporated by reference into these Terms.

8. Warranty, Use & Liability

We warrant that the Products supplied will, at the time of delivery, conform to the description on the Site and any specification we provide. This warranty is subject to proper storage, installation and use in accordance with applicable law and manufacturer instructions.

To the maximum extent permitted by law, our total liability to you for any claim arising out of or in connection with any Product or these Terms is limited to the price you paid for the Product. We are not liable for any indirect, special, incidental, consequential or punitive damages (including loss of profit or business opportunity), whether in contract, tort (including negligence), or otherwise. Some jurisdictions do not allow such limitations and they may not apply to you.

9. Regulatory Compliance & Medical Device Use

You acknowledge that our Products are medical/orthopaedic devices and that their safe use requires qualified personnel, in compliance with applicable laws and standards. You agree to procure, store, handle and use the Products in accordance with regulatory requirements (including but not limited to the Medical Device Rules, 2017 under Indian law). You represent that either you are a registered medical facility or procurement entity or are authorised to purchase such Products.

10. Intellectual Property Rights

All content on the Site (including text, images, designs, logos, trademarks, domain names, software) is owned by us or our licensors. Nothing in these Terms grants you any licence to use our intellectual property except as expressly permitted. You must not copy, reproduce, distribute or modify our content without prior written permission.

11. Prohibited Uses

You agree not to:

• Use the Site or Products for any unlawful purpose or in violation of applicable laws or regulations.
• Alter, adapt, reverse-engineer, decompile or attempt to obtain source code from the Site or related software.
• Interfere with or disrupt the Site’s security, or transmit any viruses or harmful code.
• Sell, distribute or resell Products unless expressly authorised by us.

12. Modification of Terms & Suspension

We reserve the right to update or modify these Terms at any time. When we do, we will post the updated Terms on the Site. Your continued use of the Site or placing of an Order after that point means you accept the revised Terms. We may also suspend or restrict access to the Site or Products at our discretion.

13. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of India. All disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana, India.

14. Severability & Waiver

If any provision of these Terms is found invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary and the remainder of these Terms will continue in effect. Failure or delay by us to enforce any right or provision will not constitute a waiver of future enforcement of that right or provision.
